1. Definitions
Wherever they appear in these terms and in the section terms and policies, the following words have the meanings given below:
- Qitaat, the Platform, we or us: the Qitaat online platform (qitaat.com) and its applications, operated by Bayanat Technology Company, Commercial Registration 7054260257, Jeddah, Kingdom of Saudi Arabia.
- User or you: any natural or legal person who visits, registers on or uses any Platform service, including a guest who arrives through a link or verification code without an account.
- Account: an individual's personal account, or the account of a business or owners association through which work is managed on the Platform, together with its members and permissions.
- Buyer or Customer: anyone who requests a service, product or quotation through the Platform, whether an individual, a business or an owners association.
- Provider: a business or person offering services, products or rental equipment through the Platform, including contractors, suppliers, maintenance providers, lessors and membership partners.
- Sections: the Platform's existing sections, namely construction and supply, maintenance and facilities management, owners associations, quick services and equipment rental, and any section added later.
- Section terms: the terms specific to each section, the service provider terms, the payments, escrow and commission terms, and the Qitaat membership perks terms.
- Transaction: any request, offer, contract, work order, booking or payment created through the Platform.
- Escrow: the arrangement under which a payment is held with a licensed payment service provider until the conditions for its release are met under the payment terms.
2. Acceptance and scope
- By using the Platform or creating an account you confirm that you have read, understood and accepted these terms, together with the privacy policy, the limitation of liability document and the terms of any section you use.
- These terms and the section terms are read as one document. In case of conflict, the section terms prevail for their subject matter, followed by these terms.
- If you use the Platform on behalf of a business or an owners association, you confirm that you are legally authorised to bind it to these terms, and the account is bound by what you do within your permissions in it.
- Anyone creating an account must be at least eighteen years old or otherwise legally capable of contracting.
3. Nature and role of the Platform
- Qitaat is a technology intermediary that brings buyers and providers together and offers tools to manage requests, contracts, buildings, assets, work orders, owners associations and payments.
- Unless a section's terms expressly say otherwise, Qitaat is not a party to the contract between buyer and provider, does not perform the work itself and does not guarantee its quality, conformity or timing; these are the provider's obligations to the buyer.
- Verification, the verified badge, ratings, performance indicators and search ranking are decision aids and are not a guarantee or binding recommendation by Qitaat.
- The Platform's smart tools (such as request analysis, title deed reading, photo reports, translation and the writing assistant) produce suggestions for a person to review. They change nothing in your transaction until you or the authorised person accepts them, except automatic translation, which is saved labelled as automatic and may be edited by the author of the text.
4. Account, sign-in and security
- Sign-in is by a one-time code sent to your mobile or email, and two-factor verification may be required for some accounts and permissions.
- You must keep your registration details accurate and current, keep your sign-in methods confidential, and tell us promptly of any unauthorised use of your account.
- Each person has one personal account. Impersonating a person or organisation, or registering an ID number or commercial registration that is not yours, is not permitted.
- The administrator of a business or association account is responsible for inviting members and granting and withdrawing their permissions, and nobody may be granted wider permission than the person granting it.
- We may request documents to verify identity, capacity, commercial registration or an association manager's appointment, and may suspend some services until verification is complete.
5. Acceptable use
Users must not:
- use the Platform for any purpose contrary to the laws of the Kingdom of Saudi Arabia or public morals;
- submit misleading or forged information, documents or photos, or capture field evidence photos other than through the approved method in the app;
- attempt to access data or accounts they are not authorised for, bypass security controls, scan the Platform automatically or overload it;
- contact the parties outside the Platform to avoid its commission or safeguards in a transaction that started on it, where the section terms prohibit this;
- publish offensive, defamatory or infringing content or fake ratings;
- send unsolicited promotional messages or misuse the invitations and text messages the Platform sends on their behalf.
6. User content
- What you upload or write (data, documents, photos, descriptions and ratings) remains yours or the rights holder's.
- You grant Qitaat a non-exclusive licence, for as long as it is needed, to host, process and show this content to the parties concerned according to their permissions, and to display what you choose to publish (such as a provider profile and its portfolio), translate it and improve its presentation.
- You confirm you have the right to upload this content and that it does not infringe anyone's rights.
- We may hide content that breaches these terms or the law, or suspend its display pending review, notifying its owner of the reason where possible.
7. Transactions between users
- A contract between buyer and provider is formed when both accept it through the Platform or sign it, and the contract, its scope, schedule and payments set out the rights and obligations of both.
- Offers, prices and appointments given by a provider are the provider's own, and the provider is responsible for their accuracy and for honouring them.
- The records the Platform keeps for a transaction (fixed snapshots of offers and contracts, arrival and completion photos with their time and location, and the message history) are a reference for both parties in case of disagreement and may be provided to the competent authorities.
8. Fees, subscriptions and payments
- Some services are free; others require a package subscription or carry a commission or fee. Prices and commissions are shown before you commit to them.
- Prices are in the currency of the transaction's country, value added tax is added at the statutory rate of that country, and invoices are issued according to the applicable invoicing requirements.
- Payments, escrow, release, refunds and payouts to providers are governed by the payments, escrow and commission terms.
9. Privacy and data protection
We process your personal data in accordance with the privacy policy and the Personal Data Protection Law of the Kingdom of Saudi Arabia and its regulations. National ID and residency numbers are never stored in plain text and are only viewed with a recorded permission and reason.
10. Platform intellectual property
All rights in the Platform, its software, design, trademark, databases and the content prepared by Qitaat are reserved to Bayanat Technology Company or its licensors. They may not be copied, reused or automatically extracted without prior written permission. Providers' trade names and logos belong to their owners.
11. Notices and communication
- We send transaction notices and security alerts through the Platform, email and text message, and through WhatsApp to those who have opted in. The Platform currently sends text messages to Saudi mobile numbers only.
- A notice sent to the contact method registered in your account is deemed received when sent.
- To contact us or make a complaint, use the support centre in the Platform; tickets are handled within the published time limits for each priority.
12. Disagreements between users
- Both parties are encouraged to settle a disagreement amicably through the transaction's conversation.
- The Platform's dispute centre allows a dispute to be raised on a contract or payment. It is considered under its published procedure, and amounts held in escrow are settled according to its decision.
- This does not prevent either party from referring the matter to the competent judicial authorities.
13. Suspension, termination and account closure
- We may suspend or terminate an account or service for breach of these terms or the law, to protect users or the Platform, or at the request of a competent authority, giving you the reason where legally possible.
- You may request closure of your account from its settings. Closure takes effect after a cooling-off period unless the account has outstanding obligations that prevent it (such as an active contract, an unsettled payment or an open dispute).
- On closure the account's data is archived and detached from its sign-in methods, and records the law requires us to keep (such as invoices, contracts, payments and the audit trail) are retained for the statutory period.
14. Changes to these terms
- We may amend these terms or the section terms. Each amendment is published as a new version with its number, effective date and a summary of what changed, and previous versions remain available on the terms and policies page.
- We will notify you of material changes a reasonable time before they take effect where possible. Continuing to use the Platform after a change takes effect means you accept it; before then you may close your account.
- An existing transaction remains governed, as to what was agreed in it, by the terms in force when it was concluded, unless the parties agree otherwise.
15. Governing law and jurisdiction
These terms are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, and the competent judicial authorities in the Kingdom have jurisdiction over any dispute arising from them.
16. General
- If any provision of these terms is held invalid or unenforceable, the remaining provisions remain in effect.
- Our not exercising a right is not a waiver of it.
- You may not assign your rights or obligations under these terms without our consent. We may assign them to an entity that succeeds us in operating the Platform, with notice to you.
- The Arabic text of these terms is authoritative and the English translation is provided for convenience; in case of difference the Arabic text prevails.
